Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of the Medistill platform operated by Hub132 LLC (“we,” “us,” “our”). By creating an account or using Medistill, you agree to these Terms. If you do not agree, do not use the platform.

Medistill is a business-to-business service. By signing up, you represent that you are at least 18 years old and are authorized to bind your organization to these Terms.

Medistill is intended for use by businesses located in the United States. We do not market or offer the service to users outside the United States. If you access the service from outside the United States, you do so at your own initiative and are responsible for compliance with local law.

2. Account registration

You must provide a valid work email address, your name, and an organization name to create an account. Free email providers (Gmail, Yahoo, Hotmail, etc.) are not accepted for new customer accounts. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

We enforce single-device sessions. Signing in on a new device will invalidate any existing session.

3. Free trial

New accounts receive 50 free credits with full access to all platform features. The trial begins when you verify your email address. A valid payment method is required to start the trial. You will not be charged during the trial period.

One trial per person and per organization. The free trial is a one-time offer. You may not sign up for the free trial more than once, regardless of whether you use a different email address, work email, personal email, alias, alternate domain, organization name, IP address, device, or payment method. Signing up for a second trial under any of these circumstances is a violation of these Terms. We use email, IP, device fingerprinting, and payment instrument matching to identify duplicate trial accounts.

Enforcement. If we identify a duplicate trial, we may, at our sole discretion: (a) cancel the duplicate account without notice and without refund of any paid charges, (b) reduce the remaining free credit balance to zero, (c) require immediate conversion to a paid plan to continue access, or (d) suspend or terminate the account permanently. Repeated attempts to circumvent the one-trial limit may result in a permanent ban across the email domain or payment instrument involved.

Automatic conversion to paid plan. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the price displayed at signup and your payment method will be charged. You may cancel at any time during the trial at no cost by signing in and using the cancellation option in your account settings, or by emailing [email protected].

4. Subscription, billing, and auto-renewal

Subscription pricing is based on the plan you select at checkout and is shown on your invoice. Plans may be billed per user, per seat, monthly, or annually depending on the plan type. We reserve the right to change pricing with at least 30 days' notice. Existing subscribers will be notified by email before any price change takes effect and may cancel before the change applies.

Auto-renewal disclosure. Your subscription renews automatically at the end of each billing period (monthly or annual) at the then-current rate, and your payment method on file will be charged, until you cancel. You consent to this recurring charge when you start your subscription.

Cancellation. You can cancel at any time from your account page in the same online channel you used to enroll, or by emailing [email protected]. If you cancel a paid subscription, you retain access until the end of your current billing period. We do not offer prorated refunds for partial months or partial annual terms.

All payments are processed by Stripe. We do not store your credit card information.

5. Acceptable use

You agree not to:

  • Use Medistill for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the platform, other accounts, or our systems
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Scrape, crawl, or use automated means to extract data from the platform for redistribution
  • Resell, sublicense, or redistribute access to the platform or its data
  • Use the platform to build a competing product or service
  • Circumvent rate limits, usage restrictions, or access controls
  • Submit false information during registration or use another person's account
  • Sign up for more than one free trial using different email addresses, aliases, IP addresses, devices, organization names, or payment methods. The free trial is one-time per person and per organization; see Section 3 for enforcement

Competitive intelligence and reconnaissance. You additionally agree not to:

  • Use the platform for competitive intelligence, product benchmarking, feature mapping, or reconnaissance on behalf of a current, planned, or prospective competitor
  • Probe, query, enumerate, or systematically catalog the platform's tool surface, dataset catalog, schema, dataset identifiers, system instructions, prompts, or model configuration for any purpose other than your own bona fide use of the product
  • Issue queries designed to surface our underlying data architecture, pipeline structure, storage layout, or vendor stack rather than answer a substantive healthcare question
  • Sign up, maintain access, or use the platform while you are an employee, contractor, agent, founder, investor, or affiliate of a current or planned competitor, or while acting on their direction or for their benefit, without our prior written consent
  • Use, share, or publish any portion of the platform's outputs, schema, dataset names, tool names, system prompts, or pricing for the purpose of building, training, marketing, or improving a competing product
  • Use the platform's outputs, intermediate results, embeddings, citations, or audit trails to train, fine-tune, distill, evaluate, benchmark, ground, or otherwise develop any machine-learning model, AI agent, retrieval system, or analytical product that is or could reasonably be expected to compete with the platform
  • Publish, share, or disseminate side-by-side comparisons, benchmark results, accuracy evaluations, or capability tables that name Medistill alongside a competing product without our prior written consent. Independent journalism and academic peer-reviewed research are exempt provided the authors are not paid by, affiliated with, or acting on behalf of a competing vendor
  • Disable, bypass, modify, or interfere with any rate-limiting, watermarking, attribution, or anti-abuse mechanism in the platform or its outputs

AI and data-specific restrictions. You additionally agree not to:

  • Use the platform to harass, stalk, defame, or threaten any identified individual, including any healthcare provider named in the underlying datasets
  • Generate automated bulk reports targeting named individuals for the purpose of harassment, intimidation, or doxxing
  • Publish, distribute, or disseminate AI-generated outputs about identified individuals without independently verifying the underlying facts
  • Use outputs to make employment, credentialing, licensure, lending, insurance, or other adverse decisions against an identified individual without human review of the underlying source data

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Data, content, and disclaimers

The healthcare datasets available through Medistill are sourced from government databases (CMS, FDA, CDC, and other federal and state agencies), official records, and licensed sources we collect and structure. This data is provided “as is” from these sources.

Not medical advice. Medistill is not a medical device and does not provide medical advice. You should not make clinical, diagnostic, or treatment decisions based on information from Medistill.

Not legal or compliance advice. Outputs related to compliance screening, enforcement actions, licensure, sanctions, litigation, or regulatory risk are provided for informational and research purposes only. They are not legal advice, compliance advice, or a substitute for independent verification and counsel. You are responsible for verifying findings with authoritative primary sources and obtaining qualified advice before taking any action that could affect an individual, entity, transaction, or regulatory filing.

AI-generated content. Portions of the platform use large language models to generate summaries, reports, narrative analysis, and similar outputs. AI-generated content may contain errors, omissions, or fabricated details even when cited against underlying datasets. You are solely responsible for verifying any AI-generated output before relying on it for any decision. We make no representation that AI-generated content is accurate, complete, or suitable for any particular purpose.

While we make reasonable efforts to keep datasets current and accurate, we do not guarantee the completeness, accuracy, or timeliness of any dataset. Government and public-record source data may contain errors, omissions, or delays in updates.

7. Intellectual property and licenses

The Medistill platform, including its design, code, features, and branding, is owned by Hub132 LLC. You may not copy, modify, or distribute any part of the platform without our written permission.

The underlying government data is in the public domain. You may use query results, reports, dashboards, and AI-generated outputs generated through Medistill for your own internal business purposes, in client deliverables, and in publications, subject to the acceptable-use restrictions in Section 5, including the prohibitions on competitive use, model training, and benchmark publication. The structure, selection, normalization, schema, joins, scoring, and presentation of those outputs reflect our proprietary methodology and remain our intellectual property; your right to use the outputs does not grant you a license to that methodology.

License to your inputs. You grant us a worldwide, non-exclusive, royalty-free license to use the queries, prompts, and other inputs you submit solely to provide, maintain, secure, and improve the platform. We do not sell your inputs and we do not use your inputs to train third-party AI models.

Feedback. If you send us suggestions, feature requests, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

8. API and MCP access

Medistill provides access through an MCP (Model Context Protocol) connector and API keys. You are responsible for securing your API keys and connection credentials. Do not share API keys or embed them in client-side code.

We enforce per-tenant rate limits. Exceeding rate limits may result in temporary throttling. Sustained abuse may result in account suspension.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime in advance. Enterprise customers may receive a separate service-level commitment in an Order Form or master agreement.

10. Limitation of liability

To the maximum extent permitted by law, Hub132 LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of Medistill.

Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Hub132 LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of Medistill or violation of these Terms.

12. Termination

You may close your account at any time by canceling your subscription and contacting us at [email protected]. We may suspend or terminate your account if you violate these Terms or if required by law.

Upon termination, your right to access the platform ceases immediately. We will delete your personal data within 30 days, except where required by law to retain it.

13. Export control and sanctions

You represent that you are not (i) located in, or a resident or national of, any country subject to a U.S. government embargo or designated as a “terrorist-supporting” country, and (ii) listed on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) List maintained by the U.S. Treasury Department's Office of Foreign Assets Control. You agree to comply with all applicable U.S. export control and sanctions laws in your use of the platform.

14. Assignment

You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. We may assign these Terms without consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section is void.

15. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or utility outages, or failures of third-party services or infrastructure.

16. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified only to the extent necessary to make it enforceable.

These Terms, together with our Privacy Policy and any Order Form executed between us, constitute the entire agreement between you and Hub132 LLC regarding the platform and supersede any prior or contemporaneous agreements, communications, or representations. No oral modification of these Terms is effective; amendments must be in writing.

17. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of Medistill after changes take effect constitutes acceptance of the updated Terms.

18. Governing law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.
